Contractual Agreement


Susan Woods is a nonprofit consultant who has provided services for nonprofit professionals and church officials for years.

This contractual agreement outlines the tasks Susan completes for private clients when completing the 501(c)(3) application packet which includes the “Form 1023: Application for Recognition of Exemption” and the seven attachments that are a part of the application packet.

Please read the entire Contractual Agreement below. If the terms and conditions are acceptable, please process the $500 installment payment using the link at the very bottom of the page. Your payment confirms your understanding and agreement of the contractual terms and conditions.


This contractual agreement defines the following components:

  • consultant tasks

  • optional extra services

The Consultant commits to a 15-business-day turnaround time to complete the application packet after the Client returns the signed contract and processes the security deposit. This time frame is contingent upon the cooperation of the clients.


The Consultant prepares the 501(c)(3) Application Packet according to IRS guidelines by completing the customized tasks and creating the seven attachments listed below.

Complete Customized Tasks

  • Complete needs analysis
  • List human resources roles, job descriptions, salaries, and source data
  • List the tangible assets, unit costs, and source data
  • Write comprehensive budget (revenues and expenses)
  • File the Articles of Incorporation

 Create Seven Attachments

  • EIN Letter
  • Articles of Incorporation
  • Bylaws
  • Narrative Description of Activities
  • Fundraising Activities Description
  • Conflict of Interest Policy
  • Financial Data Statement


The Consultant cannot guarantee that the Internal Revenue Service will award a 501(c)(3) tax-exempt designation with an official Determination Letter. The client understands that the final decision belongs to the IRS. In addition, the Consultant cannot provide an exact timeline in which the IRS will provide a final decision. However, the IRS requests six months to complete a preliminary review of the application packet.


The contract will be dissolved and the deposit forfeited if the “IRS Form 1023 Application for Recognition of Exemption” is not started 30 days after the date in which the contract is signed. The contract will also be dissolved if the consultant detects fraud in the purpose of the nonprofit organization.


The Client is entitled to a full refund of the security deposit ($500) five business days after Consultant receives it. Security deposit refunds are NOT available after the five business days have passed.

Clients are expected to process the final $500 payment when they are notified that the application packet is complete. If the Client does not process the final payment within 60 days after being notified that the application packet is complete, they will be charged an additional $200 fee in order to receive the final application packet to mail to the IRS.


  • Susan Woods Consultant Fees = $1,000
  • IRS Application Processing Fee = $850
  • Total Fees = $1,850

Note: Clients are also responsible for Secretary of State filing fees.

The fee payment schedule for the Consultant includes two installments:

  • Installment #1 = $500 (Security Deposit)
  • Installment #2 = $500 (Final Payment)
